General Terms and Conditions
for the use of Transparify at usetransparify.com. This English version is provided for convenience; the German version is legally binding.
Last updated: 23 Oct 2026
1. Scope and provider
- These General Terms and Conditions ("Terms") apply to all contracts for the use of Transparify ("Transparify" or the "Service"), available at usetransparify.com. The provider is Tiemann & Böker UG (haftungsbeschränkt), An den Linden 21, 91171 Greding, Deutschland, registered with the commercial register at Amtsgericht Nürnberg under HRB 46477 (the "Provider").
- Transparify is aimed exclusively at businesses within the meaning of Section 14 German Civil Code (BGB), in particular companies, law and tax firms and other obliged entities under anti-money-laundering law. Consumers within the meaning of Section 13 BGB are excluded from use. By registering and with each order, the customer confirms that they are acting in the exercise of their commercial or independent professional activity.
- Deviating, conflicting or supplementary terms of the customer do not become part of the contract unless the Provider expressly agrees to them in text form.
2. Description of services
- Transparify is web-based software for determining beneficial owners under the AMLR. The customer enters the company and its ownership and control structure in a guided flow. Transparify determines the beneficial owners from this and documents the result (a "Determination").
- A Determination includes the regular commercial register search, the automatic pre-filling from register data provided for this purpose, the calculation across all included levels, holdings and shareholders, and the documentation of the result including download.
- Optionally, the Provider offers the Watchlist (Section 8) and Transparify Enterprise for team collaboration (Section 9).
- Transparify does not offer document uploads, automated document recognition or AI-based document analysis.
- The Provider does not make entries or filings in the Transparency Register and does not transmit data to it. The customer makes the entry.
- Transparify is software for structuring, calculation and documentation. It does not provide legal or tax advice and does not replace review by lawyers, tax advisors or other qualified professionals.
3. Customer account
- Creating a customer account is free of charge. A company can be entered without an account. An account is required for paid Determinations, the Watchlist and Enterprise.
- Use of the account may require confirmation of the email address. The customer must provide truthful and complete information when registering and ordering.
- The customer must keep their login credentials confidential and inform the Provider without undue delay if they suspect unauthorized use of their account.
4. Conclusion of contract
- The presentation of services on the website is not a binding offer but an invitation to place an order.
- Registration and data entry alone do not create any payment obligation. The customer orders a paid Determination only in the order dialog, in which price, billing time, maximum budget and these Terms are confirmed, by clicking the button "Order with obligation to pay and continue". This constitutes a binding offer, which the Provider accepts by creating the order in the account.
- The customer books the Watchlist and Enterprise through Stripe checkout. The contract is concluded when checkout is completed.
- The orderer and paying party is the person or company stated in the order dialog. This may differ from the company being investigated. Anyone ordering on behalf of a company confirms that they are authorized to do so. The Provider does not verify the power of representation.
- The Provider does not store the contract text separately. The current version of these Terms is available at usetransparify.com/terms. The customer can view order data and invoices in their account. The contract language is German.
5. Prices
- Each Determination is a separate order. The net price depends on the number of billable Determinations in the customer account within the past 365 days:
- Determinations 1 to 5: 20,00 € net per determination
- Determinations 6 to 25: 17,00 € net per determination
- Determinations 26 to 50: 14,00 € net per determination
- From determination 51: 10,00 € net per determination
- The price does not depend on the complexity of the structure. Ownership levels, holdings, shareholders or additional investigated companies do not trigger surcharges.
- The price of a Determination is fixed when it is ordered. Later price changes and older Determinations dropping out of the 365-day window do not change it. Determinations already ordered do not become cheaper retroactively.
- The Watchlist costs 10,00 € net per month and monitored company. Transparify Enterprise costs 49,00 € net per month. Enterprise does not change the price per Determination.
- All prices are subject to statutory VAT where applicable. The prices shown in the order dialog or at checkout apply.
- Customers holding credit or a package purchased before 15 Oct 2026 keep its previous conditions until it is used up or expires.
6. Maximum budget
- When ordering, the customer sets a maximum budget. Transparify pauses paid operations that would exceed this budget without charging anything.
- The customer can expressly raise the budget at any time. Data and progress are retained.
7. Billing and payment
- A Determination is billed only once its result has actually been delivered, i.e. the determination has been completed. No prepayment or stored payment method is required. Results that are not delivered are not charged.
- Invoices are payable without deduction upon receipt. Payments are processed by the payment service provider Stripe, either through Stripe checkout or through a Stripe invoice sent by email. A payment is deemed received only once Stripe has confirmed it.
- Enterprise customers can choose monthly consolidated billing. All Determinations delivered in a calendar month (time zone Europe/Berlin) are then combined on one invoice and charged to the stored payment method at the beginning of the following month. This requires a stored payment method and complete billing details. A monthly spending limit applies, which is 1.000,00 € net by default and can be adjusted in the account.
- The Watchlist and Enterprise are billed monthly in advance via Stripe.
- The customer can manage invoices, payment methods and subscriptions in their account and in the Stripe customer portal.
- In the event of late payment, the Provider may suspend new paid orders, monthly consolidated billing or subscription services until outstanding amounts are settled. Further statutory rights remain unaffected.
8. Watchlist
- With the Watchlist, the Provider checks a company chosen by the customer once a week for changes in commercial register data. If a change is detected, the customer receives an email for their own review.
- The Watchlist relies on publicly available register data. The Provider does not guarantee that all changes relevant to the customer are detected or reported promptly. The Watchlist does not replace the customer's own monitoring obligations.
- Each Watchlist subscription covers one company. The monitored company can be changed at most once a week.
9. Transparify Enterprise
- With Enterprise, the customer (account owner) can invite other people by email to individual Determinations and assign them the role "Edit" or "View". There is no limit on the number of invited people.
- Invited people with edit rights can trigger paid Determinations. These are charged to the account owner according to the price schedule, which the account owner is expressly informed of when sharing.
- The account owner is responsible for inviting only authorized people and is bound by the actions of invited people within their role. Shares can be revoked at any time.
- When Enterprise ends, shares become ineffective at the end of the paid period. The account owner's account and Determinations remain.
10. Term and termination
- A contract for a Determination is fulfilled when the result is delivered. No termination is required.
- The Watchlist and Enterprise run for an indefinite period and renew monthly. Either party may terminate them at the end of the current billing month. Amounts already paid for the current month are not refunded pro rata.
- Termination is possible in the account, through the Stripe customer portal or in text form (e.g. by email to info@usetransparify.com). The Provider confirms receipt electronically.
- Terminating a subscription does not delete the account or the Determinations stored in it. The customer can delete their account and data themselves at any time. Payment obligations already incurred remain.
- The right to terminate for good cause remains unaffected. For the Provider, good cause exists in particular in the event of a serious breach of Section 11.
11. Customer obligations and permitted use
- The customer is responsible for the accuracy and completeness of the data entered. They review the pre-filling from register data and the result of each Determination before further use.
- The entry in the Transparency Register and compliance with other obligations under the AMLR are solely the customer's responsibility.
- If the customer enters personal data of third parties, such as shareholders or beneficial owners, they ensure that they are entitled to do so.
- Prohibited uses include in particular the unauthorized collection or disclosure of company or personal data, automated queries, attacks on the Service, circumventing limits or security measures, and sharing login credentials with third parties.
- In the event of violations, the Provider may block access in whole or in part, taking the customer's legitimate interests into account.
12. Rights of use
- For the term of the contract, the Provider grants the customer the simple, non-transferable right to use Transparify as intended. Software, content and design of the Service remain protected by copyright.
- The customer may use the results of their Determinations without time limit for their own purposes, in particular for the Transparency Register entry, their own records and for sharing with advisors, obliged entities under the AMLR and authorities.
13. Availability
- The Provider aims for an availability of 99.5% on a monthly average. Further targets for support and recovery are set out in the service targets. These are targets, not warranted characteristics. No service credits are provided.
- Maintenance, disruptions at infrastructure or payment providers and the unavailability of external registers (e.g. the commercial register) may cause temporary restrictions.
14. Liability
- Determinations are automated and based on the customer's input and the available register data. The Provider is not liable for errors resulting from incorrect or incomplete customer input or from incorrect register data.
- The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given.
- For slightly negligent breach of a material contractual obligation, liability is limited to the typical, foreseeable damage. Material contractual obligations are those whose fulfilment makes proper performance of the contract possible in the first place and on whose observance the customer may regularly rely.
- Otherwise, liability for slight negligence is excluded. These limitations also apply to the Provider's vicarious agents and legal representatives.
15. Data protection and data processing
- How the Provider processes personal data is described in the privacy policy.
- Where the Provider processes personal data on behalf of a company, the data processing agreement (DPA) applies, with its annexes on technical and organizational measures and subprocessors. The DPA is concluded with the first order as a company or when Enterprise is activated.
16. Changes to these Terms and prices
- Changes to these Terms and to prices apply only to contracts concluded and Determinations ordered afterwards.
- For ongoing subscriptions, the Provider announces changes in text form at least six weeks before they take effect. They only take effect if the customer agrees. If the customer does not agree, either party may terminate the subscription as of the date the change would take effect.
17. Final provisions
- The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
- If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is the Provider's registered office.
- Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.
