Transparify White Paper · Chapter 6
Transparify: From Regulation to Software
Applying the AMLR UBO determination logic manually across dozens or hundreds of mandates, with multi-level chains, multiple control factors, and changing ownership structures, is slow, error-prone, and difficult to audit. The following section explains how Transparify turns the logic into a deterministic calculation engine.
AMLR Compliance With Ease
Save time · Fully documented · Secure & compliant
Transparify turns the AMLR into a structured workflow: enter a corporate structure and get a fully documented Beneficial Owner documentation.
Find Your UBO in Six Steps
- Target entity information: Create or import the target entity and define the corporate structure.
- Ownership interest: Enter and calculate Ownership Interests.
- Control factors: Assess all relevant AMLR control factors and legal arrangements.
- Additional Legal Entities (if required): Add further entities where additional ownership or control chains must be resolved.
- SMO Fallback (if required): Add the Senior Managing Officials where no Beneficial Owner can be determined.
- Beneficial Owner Information: Review, validate and complete the identified Beneficial Owners.

Results & Export
What you get:
- Overview and path documentation of your entity's UBOs/SMOs
- Ownership Graph of the entire structure
- File Formats: PDF and XML
- Temporary or permanent storage in your account
- Copy-paste-ready template for registry filing
What Transparify Does and Does Not Do
- Same Logic, Every Time: The same AMLR logic runs the same way every time, for every legal form, so results are consistent and reliable. They don't depend on who happened to handle the file that day or what they remembered to check, and they follow the precise logic laid out in this paper.
- Time Savings Through Automation: Via an API, Transparify pulls in and pre-fills ownership data from commercial registries automatically across each level of the UBO determination chain. You no longer have to analyze every cap table within the structure yourself. What used to take hours now takes minutes.
- Full Audit Trail: Every result carries the path, the percentage, and the legal basis behind it. Tool outputs can be saved as a structured PDF or as an XML file, which you can hand over for review or register filing without having to reconstruct how you got there.
- Built for Complex Structures: Multi-level chains, nominee arrangements, general partners, trusts, foundations, cooperatives, circular ownership: this is exactly where manual checks tend to fall apart, and it's what Transparify is built for.
- Watchlist: Registry Monitoring: The commercial registry is checked on an ongoing basis through an API connection, so you get notified whenever something changes that could mean your central registry entry needs updating, instead of finding out only at the next manual review.
The tool handles structured input of ownership interests and control factors across multi-level corporate structures with unlimited nesting depth. All control factor categories with their respective assessment logic, calculation adjustments such as treasury shares and cycle detection at each entity level and the SMO fallback are considered. Users receive a structured output with a full audit trail for client files and regulatory review, including PDF/XML export and organizational charts.
Input Responsibility
Transparify is a calculation and documentation tool, not a data source. The quality of the output depends on the quality of the input.
Transparify is designed for practitioners who have access to the complete ownership and control picture: shareholder agreements, voting arrangements, acting-in-concert situations, nominee agreements, etc. Register data alone, which may reflect only nominal shareholding, is not sufficient for a complete AMLR-compliant assessment.
The tool doesn't replace legal judgment on new or unusual arrangements, or on questions specific to a given jurisdiction. It applies the AMLR rules the same way every time; users are still responsible for checking that what they enter is complete and correct.
